1. PURPOSE
These General Terms and Conditions ("Terms") govern the use of the EKWIP platform ("Platform") by business users ("Clients"). EKWIP provides a software solution enabling retailers to optimize the liquidation of unsold inventory through automated multi-channel sales management.
2. ACCESS & REGISTRATION
• The Platform is accessible to registered business users only.
• Clients must provide accurate business information upon registration.
• EKWIP reserves the right to accept or refuse any registration request.
3. SERVICES PROVIDED
• Inventory aggregation and multi-channel listing management.
• AI-driven pricing optimization.
• Performance analytics and reporting.
• ESG impact tracking for unsold inventory liquidation.
4. FEES & PAYMENT
• The use of the Platform is subject to a subscription plan and a commission on transactions.
• Payments are due on a monthly basis.
• Late payments may result in account suspension.
5. CLIENT OBLIGATIONS
• Ensure all product listings comply with marketplace regulations.
• Provide accurate inventory data to ensure seamless transactions.
• Use the Platform in accordance with applicable laws and ethical business practices.
6. LIABILITY & WARRANTY
• EKWIP is not liable for any losses due to incorrect product data provided by Clients.
• The Platform is provided "as is" without warranty of uninterrupted service.
• EKWIP shall not be held responsible for third-party marketplace policies affecting product listings.
7. DATA PROTECTION & CONFIDENTIALITY
• EKWIP processes Client data in compliance with GDPR and other applicable laws.
• Confidential business information shared through the Platform shall not be disclosed to unauthorized third parties.
8. TERMINATION
• Clients may terminate their subscription with 30 days' written notice.
• EKWIP reserves the right to suspend or terminate access in case of non-compliance with these Terms.
9. GOVERNING LAW & DISPUTE RESOLUTION
• These Terms are governed by the laws of Brussels.
• Disputes shall be resolved through mediation or, if necessary, by competent courts in Brussels.
